Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Customer") and Absolute GIS, LLC, an Indiana limited liability company ("Absolute GIS," "we," "us," or "our"), which operates the ProximityIntel platform, website, applications, and related services (collectively, the "Service"). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Service.

1. Who may use the Service

The Service is intended for business use by U.S. federal contractors, business-development professionals, and related users, and is designed for users located in the United States. You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

ProximityIntel is an informational and analytical tool that aggregates, organizes, enriches, and presents data relevant to federal government contracting — including, for example, entity registrations, contract and subcontract award history, certifications, geographic and incentive-zone information, and related intelligence. The Service is provided to support your own research and business decisions. It is a software tool, not a provider of professional, legal, financial, investment, or contracting advice.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. We use third-party providers (including Clerk for authentication) to support account creation and sign-in. Notify us promptly of any unauthorized use of your account.

4. Subscriptions, billing, and founding pricing

Paid plans are billed in advance on a recurring basis (monthly or annually) through our third-party payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method until you cancel. Fees are non-refundable except where required by law. We may change pricing on a prospective basis with notice; changes do not affect the current paid term. "Founding" or promotional rates, where offered, apply only as described at the time of the offer and may be subject to additional terms. You are responsible for all applicable taxes. You may cancel at any time; cancellation takes effect at the end of the current billing period.

THE SERVICE AGGREGATES AND DERIVES DATA FROM U.S. GOVERNMENT AND OTHER THIRD-PARTY SOURCES (FOR EXAMPLE, SAM.GOV, USASPENDING.GOV, AND SBA DATA), AS WELL AS DATA WE GENERATE OR ENRICH. WE DO NOT CREATE, CONTROL, OR INDEPENDENTLY VERIFY THE UNDERLYING SOURCE DATA, AND WE DO NOT WARRANT THAT ANY DATA OR OUTPUT IS ACCURATE, CURRENT, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE. SOURCE DATA MAY CONTAIN ERRORS, OMISSIONS, OR DELAYS, AND MAY CHANGE WITHOUT NOTICE. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY INFORMATION BEFORE RELYING ON IT.

7. No guarantee of results

THE SERVICE DOES NOT GUARANTEE ANY BUSINESS OUTCOME. USING PROXIMITYINTEL WILL NOT GUARANTEE THAT YOU WILL WIN, BID ON, OR BE AWARDED ANY CONTRACT, FIND ANY TEAMING PARTNER, GENERATE ANY REVENUE, OR ACHIEVE ANY OTHER RESULT. ALL DECISIONS YOU MAKE USING THE SERVICE — INCLUDING BUSINESS, TEAMING, BIDDING, AND CONTRACTING DECISIONS — ARE YOUR OWN, AND YOU ASSUME ALL RISK FOR THEM.

The Service provides information and analytics only. It does not constitute legal, financial, investment, tax, accounting, or professional contracting advice, and is not a substitute for advice from a qualified professional. You should independently verify information and consult appropriate professionals before acting.

9. Intellectual property

The Service — including its software, design, compilations, enrichments, analytics, and the selection, arrangement, and presentation of data — is owned by Absolute GIS and protected by intellectual-property laws. Underlying U.S. government records are generally in the public domain; our rights cover our compilation, enrichment, derived analytics, and presentation, not the raw public records themselves. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved.

10. Third-party services

The Service relies on third-party providers (for example, authentication, payment processing, hosting, mapping, and email). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services, and their availability or performance is outside our control.

11. Disclaimer of warranties

THE SERVICE AND ALL DATA AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ABSOLUTE GIS OR ITS OWNERS, MEMBERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST CONTRACTS, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Absolute GIS and its owners, members, and employees from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your data outputs and the decisions you make from them, your violation of these Terms, or your violation of any law or third-party right.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms or non-payment. Upon termination, your license to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Changes

We may modify the Service or these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Indiana, and you consent to personal jurisdiction and venue there. To the extent permitted by law, any claim must be brought within one (1) year after it arises.
